Terms of Service
Last updated 26 October 2026
These Terms of Service ("Terms") govern access to and use of Videngine, the programmatic video generation platform made available at videngine.io and app.videngine.io (the "Service"). The Service is owned and operated by Wall & Fifth Ltd, a company registered in England and Wales under company number 16573579 with its registered office at 20 Wenlock Road, London, N1 7GU ("Wall & Fifth", "we", "us", "our").
By creating an account, accessing the Service, or using it on behalf of an organisation, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" and "Customer" refer to that organisation.
1. Definitions
- Customer Content means data, text, images, listings, logos, footage, audio, feeds and any other material you upload to, connect to or otherwise provide through the Service.
- Output means the video files and related assets the Service renders from Customer Content at your direction.
- Platform means the Service and everything that makes it work: software, source code, templates, rendering pipelines, workflows, user interface, design, documentation, models, prompts, configurations, integrations and all improvements to any of them.
- Services Agreement means a separate written agreement (including a retainer, statement of work or consultancy agreement) under which Wall & Fifth provides design, development or other professional services to a Customer.
- Services Customer means a Customer whose access to the Service is provided under clause 4 by virtue of a Services Agreement.
2. The Service
2.1 The Service lets you assemble and render videos programmatically from Customer Content, review them, and download or store the Output.
2.2 We may change, add to or remove features of the Service at any time. We will use reasonable efforts to notify you of changes that materially reduce core functionality.
2.3 The Service may integrate with third-party services (for example hosting, storage or media providers). Your use of those services may be subject to their own terms.
2.4 Publishing to YouTube uses YouTube API Services. By connecting a YouTube channel to the Service you agree to be bound by the YouTube Terms of Service, and Google's use of your data is covered by the Google Privacy Policy. How we handle Google and YouTube data is set out in our Privacy Policy.
3. Ownership of the Service
3.1 The Platform is and remains the exclusive property of Wall & Fifth. All intellectual property rights in the Platform, including copyright, database rights, trade marks, design rights, know-how and rights in confidential information, belong to Wall & Fifth or its licensors.
3.2 These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during your access period. No other rights are granted, whether by implication, estoppel or otherwise.
3.3 Nothing in these Terms, in any Services Agreement, in any invoice, proposal or correspondence, or in your payment of any fees, transfers ownership of the Platform or any part of it to you. The Platform is not a deliverable, work product or commissioned work under any Services Agreement unless a written agreement signed by a director of Wall & Fifth expressly says so and expressly identifies the Platform.
3.4 Any feature, improvement, template, workflow or enhancement that we build to the Platform, including where prompted by your feedback, your requirements or your use case, and including where built during a Services Agreement, belongs to Wall & Fifth. We may offer it to other customers.
3.5 If you give us feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose without obligation to you.
3.6 You must not, and must not allow anyone else to: copy, modify or create derivative works of the Platform; reverse engineer, decompile or attempt to extract its source code, templates or pipelines; rent, sell, sublicense or otherwise commercialise access to the Service; use the Service to build a competing product; or remove any proprietary notices.
3.7 Videngine, the Videngine logo and related names and marks are trade marks of Wall & Fifth. You may not use them without our prior written consent.
4. Included access under a services engagement
4.1 Where a Customer has an active Services Agreement with Wall & Fifth, we may provide that Customer with access to the Service as part of that engagement at no additional charge ("Included Access").
4.2 Included Access is a benefit of the Services Agreement, not a term of it. It is provided under these Terms, is subject to clause 3 in full, and does not form part of the services, deliverables or work product provided under the Services Agreement.
4.3 Included Access is conditional on the Services Agreement remaining in force and on the Customer being in good standing under it. Included Access ends automatically on the date the Services Agreement expires, is terminated, is suspended or is paused by either party, unless we agree otherwise in writing.
4.4 When Included Access ends, the Customer may continue to use the Service by entering into a paid subscription on our then-current standard terms and pricing. We will give reasonable notice of the pricing that would apply and, where practicable, a transition period of not less than 30 days during which the Customer can download its Output.
4.5 Included Access does not create any exclusivity, any obligation on Wall & Fifth to continue offering the Service, or any right to the Platform beyond the licence in clause 3.2. Fees paid under a Services Agreement are for the professional services described there and are not consideration for the Platform.
4.6 Output produced during Included Access remains the Customer's under clause 6, whether or not Included Access later ends.
5. Accounts
5.1 You must provide accurate account information and keep it up to date. You are responsible for everything done through your account and for keeping your credentials confidential.
5.2 You must be at least 18 and using the Service for business purposes. The Service is not offered to consumers.
5.3 Tell us promptly at hello@videngine.io if you suspect unauthorised use of your account.
6. Customer Content and Output
6.1 You own your Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Customer Content solely to provide, maintain, secure and improve the Service and as otherwise permitted by these Terms.
6.2 You own the Output. On rendering, we assign to you any rights we may hold in the Output itself, excluding the Platform and any template, component or generic element that is part of the Platform and reused across Output. You may use the Output for any lawful purpose.
6.3 You are responsible for Customer Content. You warrant that you have all rights, licences and consents needed for us to process it as described, including for any personal data, music, footage, images and third-party marks it contains, and that it does not infringe anyone's rights or break any law.
6.4 We may remove or disable access to Customer Content or Output that we reasonably believe breaches these Terms or the law. Where practicable we will notify you first.
6.5 We may use aggregated and anonymised data about how the Service is used (for example render counts, feature usage and performance metrics) to operate and improve the Service. Such data will not identify you or your customers.
6.6 You are responsible for keeping copies of your Output. Storage of Output within the Service is a convenience, not an archive, and is subject to clause 10 and the retention periods in the Privacy Policy.
7. Acceptable use
You must not use the Service to:
- upload or generate content that is unlawful, defamatory, deceptive, infringing, obscene, or that promotes violence or discrimination;
- generate misleading advertising, including false claims about products, prices, availability or condition;
- upload malicious code or attempt to gain unauthorised access to the Service or its infrastructure;
- send automated requests at a rate that degrades the Service for others, other than through features we provide for that purpose;
- process personal data in breach of applicable data protection law; or
- circumvent any usage limit, quota or access restriction.
8. Fees
8.1 Unless you have Included Access under clause 4 or a written agreement stating otherwise, use of the Service is subject to the fees, plans and usage limits published at videngine.io or agreed with you in writing.
8.2 Plans bought in the Service. If you choose a plan in the Service, you pay in US dollars by card through our payment processor, Stripe. Plans are billed in advance, monthly or yearly as you choose, and renew automatically at the end of each billing period until you cancel.
8.3 Each plan includes a number of finished videos a month, and the brands, team seats and features shown at videngine.io/pricing when you subscribe. A video counts once in a month however many times it is rendered that month. Videos beyond the monthly allowance are charged at your plan's published rate per video and added to your next invoice; on yearly plans they are billed monthly. To protect you from unexpected charges, rendering pauses once a month's videos reach the limit shown in Billing, until the next month begins or you change plan.
8.4 You can change plan or cancel at any time from Billing in the Service. A cancellation takes effect at the end of the current billing period and you keep access until then. A move to a bigger plan takes effect straight away and is charged pro rata for the rest of the period. Fees already paid are not refunded when you move to a smaller plan or cancel, unless the law requires it.
8.5 If a payment fails, Stripe will retry it and we may contact you. While a payment remains unpaid we may pause rendering, and the plan may end.
8.6 Invoiced fees. Where we invoice you directly instead, fees are payable in GBP within 14 days of invoice unless otherwise agreed, and we may suspend access for unpaid fees after 7 days' written notice.
8.7 Fees are exclusive of VAT and other taxes, which are added where they apply.
8.8 We may change our fees on 30 days' notice. Changes do not apply to a prepaid period already underway.
9. Term, suspension and termination
9.1 These Terms apply from the date you first access the Service and continue until terminated.
9.2 You may stop using the Service and close your account at any time by contacting us, and cancel a plan bought in the Service from Billing under clause 8.4. Prepaid fees are non-refundable unless we say otherwise or the law requires it.
9.3 We may suspend or terminate your access immediately if you materially breach these Terms, if your use creates a security, legal or operational risk, if fees are overdue under clause 8.5 or 8.6, or, for a Services Customer, when Included Access ends under clause 4.3.
9.4 We may otherwise terminate these Terms or discontinue the Service on 60 days' written notice.
10. Effect of termination
10.1 On termination your right to access the Service ends. You must stop using the Platform and must not retain any copy of it.
10.2 You may download your Customer Content and Output for 30 days after termination, after which we may delete them without further notice. This does not apply where we terminated for your material breach and retention would be unlawful or unsafe.
10.3 Clauses 3, 6.2, 6.3, 10, 11, 12 and 13 survive termination.
11. Confidentiality
Each party will keep the other's non-public business, technical and commercial information confidential, use it only for the purposes of these Terms, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the recipient, already known to the recipient, independently developed, or required to be disclosed by law. The Platform's source code, templates, pipelines and pricing are Wall & Fifth's confidential information.
12. Warranties and disclaimers
12.1 We will provide the Service with reasonable skill and care. We do not promise that the Service will be uninterrupted or error-free, or that Output will be fit for any particular purpose. You are responsible for reviewing Output before you publish it.
12.2 Except as expressly stated in these Terms, the Service is provided "as is" and all other warranties, conditions and terms, whether express or implied by statute, common law or otherwise, are excluded to the fullest extent permitted by law.
13. Liability
13.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law.
13.2 Neither party is liable for any indirect or consequential loss, loss of profit, loss of business, loss of data (other than as caused by our breach of clause 6.1 or the Privacy Policy), or loss of goodwill.
13.3 Our total liability arising out of or in connection with the Service in any 12-month period is limited to the greater of (a) the fees you paid us for the Service in that period and (b) £1,000. For a Services Customer with Included Access, fees paid under the Services Agreement do not count towards this cap.
13.4 You will indemnify us against claims, losses and costs arising from Customer Content, from Output as published by you, or from your breach of clauses 6.3 or 7.
14. General
14.1 Changes to these Terms. We may update these Terms. We will post the new version with a new "last updated" date and, for material changes, give at least 14 days' notice by email or in the Service. Continued use after that date is acceptance.
14.2 Entire agreement. These Terms and the Privacy Policy are the entire agreement between us about the Service. A Services Agreement governs the professional services described in it and does not vary clauses 3 or 4 unless it expressly says so in the manner described in clause 3.3.
14.3 Order of precedence. If there is a conflict about ownership of, or rights in, the Platform, clause 3 of these Terms prevails over any other document.
14.4 Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to a successor or affiliate.
14.5 No waiver, severability. Failure to enforce a right is not a waiver. If any clause is unenforceable, the rest remains in effect.
14.6 Third parties. No one other than the parties has rights under these Terms.
14.7 Notices. Notices to us go to hello@videngine.io. Notices to you go to the email on your account.
14.8 Governing law. These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
